1. Acceptance
These Terms of Service ("Terms") form a legally binding agreement between you (the "Merchant" or "you") and Glancito ("Glancito", "we", "us", or "our") governing your access to and use of the Glancito loyalty and marketing platform, including the Shopify app, the merchant dashboard, the storefront widget, the Marketing Hub, and all related APIs and services (collectively, the "Service").
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to that entity.
These Terms apply to all users of the Service including merchants, their authorised team members, and any third parties accessing the Service on a merchant's behalf.
2. The Service
Glancito provides a software-as-a-service (SaaS) loyalty and marketing platform for Shopify merchants. The Service includes:
- A points and rewards loyalty program for the merchant's storefront customers.
- A storefront widget (Theme App Extension) displaying loyalty balances, earning rules, and redeemable rewards.
- VIP tier management, bonus events, referral tracking, and churn rescue tools.
- The Glancito Marketing Hub (Smart Segments, Campaigns, Customer 360, and Journeys), available on Growth and Pro plans.
- A merchant dashboard for configuration, analytics, and management.
- Integrations with third-party platforms (Klaviyo, Mailchimp, Judge.me, GA4, and others) as made available.
The Service is provided via Shopify's app platform. You must have a valid, active Shopify store in good standing to use Glancito. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts & Eligibility
To use the Service you must:
- Be at least 18 years old or the legal age of majority in your jurisdiction.
- Have a valid and active Shopify store.
- Provide accurate, current, and complete account information.
- Maintain the confidentiality of your account credentials and be responsible for all activity under your account.
You must notify us immediately at legal@glancito.com if you suspect any unauthorised access to your account. Glancito is not liable for any loss resulting from unauthorised use of your credentials.
One Shopify store corresponds to one Glancito account. Installing Glancito on additional stores requires a separate account and subscription for each store.
4. Plans & Billing
Subscription plans
Glancito offers a free Starter plan and paid plans (Growth, Pro) with different feature sets, order limits, and capabilities. Current plan details, pricing, and included features are described on our Pricing page, which may be updated from time to time. The plan active at the time of your billing cycle governs the features available to you during that period.
Billing and payment
Paid plans are billed through Shopify Billing. By selecting a paid plan, you authorise Shopify to charge your payment method on the applicable billing cycle (monthly or annual). Glancito does not store your payment card details.
Annual plans
Annual subscriptions are billed upfront for 12 months. Annual plans are non-refundable except as required by applicable law or as set out in our refund policy below.
Plan upgrades and downgrades
You may upgrade your plan at any time; the upgrade takes effect immediately and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of the next billing cycle. Downgrading to a lower plan may result in loss of access to features or data that exceed the lower plan's limits.
Free trial
Where offered, free trials are available to new merchants only. At the end of a free trial, you will be charged for the selected paid plan unless you cancel before the trial ends.
Late payment and suspension
If payment fails, we will notify you and may suspend access to paid features until payment is resolved. If payment remains outstanding for more than 14 days, we may terminate your account in accordance with Section 12 (Termination).
Refunds
Monthly subscriptions: you may cancel at any time. No refunds are issued for the current billing month. Annual subscriptions: if you cancel within 14 days of the initial purchase and have not processed any orders through the Service, you may request a full refund by contacting legal@glancito.com. After 14 days, annual fees are non-refundable.
Taxes
All fees are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for any taxes applicable to your subscription in your jurisdiction.
5. Merchant Obligations
As a merchant using the Service, you agree to:
- Comply with applicable law. Operate your loyalty and marketing program in compliance with all applicable laws, including consumer protection, advertising, privacy, anti-spam (CAN-SPAM, CASL, GDPR, etc.), and electronic communications laws in every jurisdiction where your customers are located.
- Maintain a lawful basis for data processing. Ensure you have a lawful basis (consent, legitimate interests, or otherwise) to enrol customers in your loyalty program and to share their data with Glancito for processing. Maintain an accurate and up-to-date privacy policy on your Shopify store that discloses your use of third-party loyalty and marketing tools.
- Email marketing compliance. If you use the Marketing Hub to send email campaigns, you must: (a) only send to customers who have opted in to marketing emails; (b) include a valid unsubscribe mechanism in every email; (c) honour unsubscribe requests promptly; and (d) not send emails that are deceptive, misleading, or violate anti-spam laws.
- Loyalty program accuracy. Ensure the earning rules, reward values, tier thresholds, and expiry policies configured in your Glancito account are accurate, clearly communicated to your customers, and honoured.
- Account security. Maintain the security of your Glancito account and Shopify store credentials. Do not share credentials with unauthorised parties.
- Shopify terms. Continue to comply with Shopify's Terms of Service and Partner policies, which govern your Shopify store.
6. Acceptable Use
You may not use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Send unsolicited commercial email (spam) or messages to people who have not opted in.
- Sell, sublicense, resell, or provide access to the Service to third parties without our written consent.
- Use the Service to operate a loyalty or marketing program for a store other than your registered Shopify store.
- Attempt to reverse engineer, decompile, disassemble, or extract source code from the Service.
- Probe, scan, or test the vulnerability of the Service or attempt to circumvent any security measures.
- Introduce malware, viruses, or other harmful code.
- Use the Service in a way that places excessive, disproportionate load on our infrastructure.
- Use automated tools to scrape, extract, or harvest data from the Service without our written consent.
- Misrepresent your identity or impersonate any person or entity.
- Facilitate or engage in fraudulent activity, including manufacturing fake orders to inflate loyalty points.
We reserve the right to investigate and take action against any violation of this section, including immediate suspension or termination of your account.
7. Intellectual Property
Glancito's intellectual property
The Service, including all software, algorithms, designs, text, graphics, interfaces, and documentation, is owned by Glancito and protected by intellectual property law. These Terms do not grant you any ownership interest in the Service. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business purposes during your subscription term.
Your content and data
You retain all rights to content and data you provide to the Service, including your store data, customer data, and any creative content you upload (e.g. campaign images). You grant Glancito a limited licence to use that content solely to provide and improve the Service.
Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant Glancito a royalty-free, irrevocable, worldwide licence to use that feedback without any obligation to compensate you.
8. Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that:
- As a merchant, you are the data controller for your customers' personal data. Glancito processes that data as your data processor.
- You are solely responsible for obtaining any consents required from your customers, maintaining a compliant privacy notice on your store, and handling data subject requests.
- You will not submit to the Service any data that includes payment card numbers, government ID numbers, health information, or other sensitive personal data beyond what is necessary to operate a loyalty and marketing program.
Upon termination of your account, we will delete or anonymise your customers' personal data within 90 days, subject to our legal retention obligations.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
Glancito does not warrant that:
- The Service will meet your specific requirements.
- The Service will be available at all times without interruption, error, or loss of data.
- Any specific revenue, customer retention, or loyalty program outcomes will be achieved.
- Third-party integrations (Klaviyo, Mailchimp, etc.) will function without error.
We are not responsible for the actions of third-party providers, Shopify platform outages, or any force majeure events beyond our reasonable control.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GLANCITO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Glancito's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to Glancito in the 12 months immediately preceding the event giving rise to the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Glancito and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms.
- Your loyalty or marketing program and how it is operated, advertised, or communicated to your customers.
- Any claim by your customers arising from your loyalty program, including disputes over points, rewards, tiers, or email communications.
- Your violation of any applicable law or third-party right, including data protection and anti-spam law.
- Your customers' personal data and your obligations as a data controller.
12. Termination
Termination by you
You may cancel your subscription and terminate your account at any time from the Shopify app store or by contacting us at legal@glancito.com. Cancellation takes effect at the end of the current billing period for monthly plans. No refunds are issued for partial periods except as described in Section 4.
Termination by Glancito
We may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms and fail to cure the breach within 7 days of written notice.
- You fail to pay any amount due and payment remains outstanding for more than 14 days after the due date.
- We reasonably believe that continuing to provide the Service poses a legal or reputational risk to Glancito or third parties.
- You violate Shopify's terms of service, resulting in the suspension or closure of your Shopify store.
- Required by applicable law.
Effect of termination
Upon termination: (a) your access to the Service will cease; (b) your storefront widget will automatically deactivate; (c) outstanding points and rewards issued to your customers become your sole responsibility; and (d) your data will be handled per Section 8 and our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 9, 10, 11, and 13.
13. Disputes & Governing Law
Governing law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Informal resolution
Before filing any formal dispute, you agree to contact us at legal@glancito.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and Glancito each waive the right to a jury trial and the right to participate in a class action.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
EU/UK merchants
If you are located in the European Economic Area or United Kingdom, nothing in this section removes your right to bring a claim in the courts of your home jurisdiction or your rights under applicable mandatory consumer protection law.
14. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will provide at least 14 days' notice by email to the address associated with your account, and by posting the updated Terms with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
If you do not agree with the changes, you must cancel your account before the effective date.
